「老廣」們摯愛的百年糕點餅家—廣州蓮香樓，從2006年改制被收購開始，就在商標持有人與公司大股東之間展開一場“馬拉松式”商標使用紛爭。廣東省高級法院8日作出終審判決，新東家—西關世家園林酒家有限公司被判依約給付蓮香樓商標及老字號的使用費。

中新社報導，廣州飲食服務集團有限公司（以下稱飲食集團）2013年7月初在媒體上發佈權利申明，聲稱自己是蓮香樓註冊商標唯一所有人，對未經授權使用該商標的生產和銷售者—蓮香樓公司的大股東廣州市西關世家園林酒家有限公司（以下稱西關世家公司），提出警告。西關世家公司向廣州越秀法院提起索賠千萬元標的索賠訴訟。

2006年4月17日，廣州市國資委向荔灣區國資局發出函件稱，已委託飲食集團持有、管理蓮香、泮溪等老字號及商標。此後，飲食集團進行註冊更名，受讓了原屬廣州市蓮香樓有限公司的蓮香樓系列商標及老字號品牌。而此時蓮香樓公司已陷入經營困境，相關股改啟動，以公開競投方式轉讓蓮香樓公司99%的股權。西關世家公司隨後以5120萬元人民幣收購，承諾使用蓮香樓老字號商標並繳納使用費，不得自行註冊企業衍生商標。

然而，合同並未確定具體商標許可使用費用及期限。關於商標許可使用費用，只在競標前廣州國資委發給荔灣區國資局的第16號文件有提及，蓮香樓“老字號”、商標的使用費以每年137萬元人民幣為基數，年遞增3%。

西關世家從2007年起多次給飲食集團發函，請求調低和緩繳使用費，並以蓮香樓公司存在諸多歷史遺留問題以及受金融海嘯影響面臨經營困難等為由要求永久使用蓮香樓商標。

最終，飲食集團在2009年10月發函要求嚴格按照廣州國資委16號文確定的標準執行，不調減使用費，並警告稱逾期不簽許可合同，將終止西關世家使用蓮香樓商標。飲食集團於2010年11月向廣州市中級法院提起訴訟。

案經廣州中院一審，部分支持飲食集團訴求。飲食集團不服一審判決，向廣東高院提起上訴。

廣東高院終審認為，爭議的核心是廣州國資委16號文能否作為確定商標及老字號品牌許可使用費標準的依據。西關世家從參與競標開始，就可以從相關競標項目文件中清楚知曉16號文的內容；從雙方的函件往來也可以看出雙方沒有達成任何一致的修改，故16號文確定的首年137萬元基數以及3%遞增率依然有效。
